Terms of Sale
Please read this document carefully as it contains important information about your rights and obligations, as well as limitations and exclusions that may apply to you. In case of any discrepancies between the English and Chinese versions, the English version shall prevail.
This contract includes the terms that apply when you purchase related or peripheral products or related services from us. By placing an order, you confirm that you have read, fully understand, and agree to be bound by these terms.
SoundWiser may revise these terms from time to time. As you are bound by these terms, you should review them periodically.
1. Definitions:
1. "SoundWiser" refers to SoundWiser Limited.
2. "Products" refers to trademarks of products listed on this website and available for purchase, including peripheral products specified by the customer in the order form.
3. "Services" refers to services available for purchase on this website, specified by the customer in the order form.
4. "Customer" refers to the person ordering goods through this website.
5. "Contract" refers to the agreement between SoundWiser and the customer for the sale and purchase of products, incorporating mutually agreed terms.
6. "This website" refers to www.soundwiser.shop.
7. "We", "Company" refers to SoundWiser.
2. Sale and Purchase:
SoundWiser and the customer must comply with this contract for the sale and purchase of products/services.
3. Orders/Formation of Contract:
1. All orders for products/services are subject to SoundWiser's acceptance. Acceptance is at SoundWiser's discretion.
2. These terms form a contract when SoundWiser sends an acceptance notice to the customer. Once accepted by SoundWiser, orders cannot be canceled.
3. SoundWiser only accepts orders placed by Hong Kong residents aged 18 or above and delivers within Hong Kong.
4. Price and Payment:
1. Product/service prices and delivery charges (if any) are as listed on the website on the order date.
2. Customers must pay for products and delivery charges (if any) with their credit card. Customers must provide valid credit card details (including American Express, VISA, and MasterCard) in the order form. SoundWiser will verify credit card information and may issue an order acceptance notice per section 3, upon which the customer must pay the applicable charges.
3. Unless otherwise specified, all product prices are quoted in Hong Kong dollars.
4. For transactions paid by credit card, any exchange rate differences and/or additional fees charged by the card-issuing bank (for any reason) are borne by the customer.
5. Acceptance (Applicable to Product Purchase Only):
Unless the customer notifies SoundWiser by phone, communication software (e.g. WhatsApp, Meta message), or email within 7 days of delivery and SoundWiser confirms receipt of such notification within 7 days, the customer will be deemed to have accepted the product as functioning normally and conforming to the contract.
6. Title, Risk of Loss, and Damage (Applicable to Product Purchase Only):
Title, risk of loss, and damage to products transfer to the customer upon delivery to the address specified in the order form and receipt by the recipient, regardless of whether the recipient is the customer. However, the title of any software products remains with the licensors.
7. Telephone Support (Applicable to Product Purchase Only):
1. Telephone support is not provided for software or hardware products not authorized for use or produced by SoundWiser. Customers needing support should contact the respective manufacturers or licensors.
2. Details of telephone hotline services are listed on the relevant support service web pages.
8. Limited Warranty (Applicable to Product Purchase Only):
A minimum one-year warranty or as otherwise specified from the date of delivery ("Warranty Period").
9. Limitation of Liability:
Neither party shall be liable for any indirect, special, or consequential damages arising from the performance or non-performance of the contract or the provision, performance, or use of any sold goods or services, regardless of cause (whether breach, warranty, negligence, etc.). Except for liability due to personal injury caused by negligence (which is not limited by any terms), neither party shall be liable for any indirect or punitive damages or third-party claims (unless otherwise specified in the contract).
10. Important Parts:
Products must not be used as critical parts of life-support systems or in situations where foreseeable failure could cause injury to the user or others.
11. Changes:
SoundWiser may update, revise, or discontinue providing branch products and/or related services at any time, and/or the prices of products/services listed on its website. Therefore, the customer agrees that the shipped products/provided services may differ from those described in promotional materials (advertisements, product catalogs, data sheets). All orders are accepted under these terms, which supersede any other terms published on the SoundWiser website or elsewhere, and override any other terms proposed by the customer or provided during the transaction process.
12. Resale:
The customer agrees and guarantees that the products/services purchased are for the customer's personal use only, and not for commercial resale. If the customer violates or SoundWiser has reason to suspect the customer has violated this guarantee, SoundWiser reserves the right to refuse the customer's order request. The customer must not remove parts from the product for resale.
13. Force Majeure:
SoundWiser will not be held responsible for any delay or failure to fulfill obligations due to natural disasters, fires, floods, accidents, riots, wars, government interventions, embargoes, strikes, labor issues, equipment failures, or other reasons beyond SoundWiser's control. Product and component availability is subject to stock levels. If stock is insufficient, SoundWiser may independently allocate sales/delivery/repair/replacement arrangements.
14. Waiver/Invalidity:
SoundWiser's failure to insist on strict enforcement of these terms should not be construed as a waiver of its rights and compensation claims. If a court deems any provision of the contract unenforceable, the remaining terms will remain valid.
15. Governing Law:
This contract is interpreted in accordance with Hong Kong laws. In case of any disputes, the non-exclusive jurisdiction of the Hong Kong courts (i.e., the place where the customer's order request is received and/or submitted) shall prevail, and the English version of this contract shall be authoritative.
16. Headings:
The headings of each section are for reference only and do not constitute a part of the terms or contract, nor should they be used for any interpretation or inference.
17. Entire Contract:
These terms cannot be modified, supplemented, or appended by any document claiming to have been agreed upon by both parties for the purpose of modification. Any intention to supplement or modify this document or to submit any order request based on additional or modified terms is invalid.
